These Terms of Use (the “Terms”) are a legal agreement between you and Revly LLC (“Revly LLC”, “we”, “us”, or “our”), the owner and operator of mdcareflow.com and the CareFlow AI platform (collectively, the “Service”). By accessing or using the Service you agree to be bound by these Terms. If you do not agree, do not access or use the Service.
1. The Service
mdcareflow.com and the CareFlow AI platform are owned and operated by Revly LLC, a U.S. limited liability company. All references in these Terms to the “Service” mean the website and platform offered by Revly LLC.
CareFlow AI is a software-as-a-service platform that helps healthcare practices deliver Chronic Care Management (CCM), Remote Patient Monitoring (RPM), and related care-coordination workflows. Functionality includes patient management, vital-sign monitoring, secure messaging, task and minute tracking, care-plan generation, billing support, and SMS communication with patients who have opted in through their practice.
2. Who can use the Service
The Service is provided to two distinct categories of users:
- Customer Users. Healthcare practices, providers, care managers, billing staff, and other authorized personnel of a practice that has executed an Order Form, Subscription Agreement, or equivalent written agreement (the “Customer Agreement”) with Revly LLC. Customer Users access the Service to deliver care to their patients.
- Patient Users. Patients of a Customer who use the patient portal, receive SMS messages, or otherwise interact with the Service in connection with the care delivered by their practice.
You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account. Patient Users who are minors may use the Service only with the consent of a parent or legal guardian.
3. HIPAA and Business Associate Agreement
CareFlow AI is designed to handle Protected Health Information (PHI) as defined by the Health Insurance Portability and Accountability Act of 1996, as amended (“HIPAA”). Revly LLC acts as a Business Associate of each Customer practice under a Business Associate Agreement (“BAA”) executed as part of the Customer Agreement. The BAA governs the permitted uses and disclosures of PHI and controls in the event of any conflict between the BAA and these Terms with respect to PHI.
4. Account registration and security
To use the Service you may need to register for an account. You agree to provide accurate and complete information, to keep your credentials confidential, and to notify us immediately at support@mdcareflow.com of any unauthorized access. You are responsible for all activity under your account. We may use third-party authentication providers (such as Clerk) to verify identity and manage sessions.
5. Acceptable use
You agree not to:
- access the Service in violation of any applicable law or regulation;
- upload PHI you are not authorized to access or disclose;
- attempt to probe, scan, reverse engineer, or interfere with the security or integrity of the Service;
- use the Service to send unsolicited communications, spam, or other content that violates carrier or messaging-platform rules;
- impersonate any person or entity, or misrepresent your affiliation with a practice or patient;
- use the Service to render clinical decisions in a manner that disregards applicable standards of care; AI-generated content is decision-support, not a substitute for licensed clinical judgment.
6. SMS and messaging program
The Service includes an SMS messaging program (the “SMS Program”) that allows Customer practices to send care-coordination messages to their patients via CareFlow AI. No SMS message is ever sent to a patient unless that patient has provided prior express opt-in consent and that consent is recorded on the patient’s record. The SMS Program is not used for marketing or promotional purposes.
- Express opt-in consent required. A patient must affirmatively opt in before receiving any SMS message. Consent is captured by the patient’s healthcare practice — typically during patient registration through a written or electronic consent form, by the patient texting a designated keyword (for example START or JOIN) to a practice-assigned number, or by the patient confirming opt-in through the patient portal. Each opt-in record stores the consent text presented to the patient, the timestamp, the source (form, keyword, portal, or verbal-with-attestation), and the staff member who recorded it.
- Message types. Permitted SMS content is limited to transactional and care-coordination messages such as appointment reminders, vital-sign reading prompts, medication-adherence check-ins, care-plan updates, secure-link delivery for portal access, and education content tied to the patient’s active care plan.
- No marketing or promotional SMS. Revly LLC does not send, and does not enable Customers to send, marketing or promotional SMS messages through the SMS Program.
- Frequency. Message frequency varies by patient based on their care plan, scheduled appointments, vital-sign readings, and provider activity. Typical frequency is 2–10 messages per month.
- Costs. Message and data rates may apply. The carrier’s standard rates govern; Revly LLC does not charge patients for SMS.
- STOP — right to revoke consent at any time. Patients may opt out at any time by replying STOP, END, CANCEL, UNSUBSCRIBE, or QUIT to any message. After receiving an opt-out, the patient will receive one confirmation message and no further messages from the SMS Program until they expressly opt back in. Opt-out is honored immediately and the patient’s consent record is updated accordingly.
- HELP. Patients may reply HELP or INFO to receive identifying information for the sending practice and contact details for support.
- Carriers. Carriers (including but not limited to AT&T, T-Mobile, Verizon Wireless, U.S. Cellular, Sprint, and their affiliates) are not liable for delayed or undelivered messages.

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes, and no information sharing of mobile opt-in data falls within any exception that would permit such sharing. All other categories of information are subject to the restrictions in our Privacy Policy. Information sharing with subcontractors strictly in support of the Service the user has consented to (for example, transmission of the SMS message itself through Twilio) is not considered third-party sharing for marketing or promotional purposes.
7. AI-assisted features
The Service includes AI-assisted features that may generate care-plan suggestions, risk narratives, summaries, and other clinical decision-support content. AI output is presented for review by a qualified care team member and is not a clinical diagnosis or treatment plan in itself. All AI-generated content must be reviewed and approved by a licensed clinician or care manager before being relied upon in patient care.
8. Customer data and PHI
As between you and Revly LLC, the Customer practice owns all patient and clinical data submitted to the Service (“Customer Data”). We process Customer Data only as permitted by the Customer Agreement, the BAA, and applicable law. Revly LLC may use de-identified data (de-identified in accordance with 45 CFR § 164.514) for product improvement, research, and reporting.
9. Intellectual property
The Service, including all software, designs, logos, content, and documentation, is the property of Revly LLC or its licensors and is protected by U.S. and international intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for its intended purpose during your subscription term.
10. Third-party services
The Service integrates with third-party services (for example, Clerk for authentication, Twilio for SMS, AWS for hosting and AI inference, Stripe for payments where applicable). Your use of those services is subject to the third party’s own terms and privacy practices. We are not responsible for third-party services that we do not control.
11. Fees and billing
Fees, billing terms, and refund policies are set out in the Customer Agreement. Patient Users do not pay Revly LLC for the Service; their use is funded by their practice and applicable insurance reimbursement.
12. Termination
We may suspend or terminate your access to the Service if you breach these Terms or the Customer Agreement, if continued provision is unlawful, or if doing so is necessary to protect the integrity of the Service or other users. On termination, the data-export and -retention provisions of the Customer Agreement and the BAA control with respect to PHI.
13. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Revly LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE OR EMERGENCY CARE; IF YOU OR A PATIENT MAY BE EXPERIENCING A MEDICAL EMERGENCY, CALL 911 OR YOUR LOCAL EMERGENCY NUMBER IMMEDIATELY.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Revly LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE. Revly LLC’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (a) THE AMOUNTS PAID OR PAYABLE BY YOU OR YOUR ORGANIZATION TO Revly LLC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY OR (b) ONE HUNDRED U.S. DOLLARS (US$100).
15. Indemnification
You agree to defend, indemnify, and hold harmless Revly LLC from and against any claims, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to your breach of these Terms, your misuse of the Service, or your violation of applicable law.
16. Governing law and disputes
These Terms are governed by the laws of the State of [FILL IN: Delaware / New York / state of Revly LLC formation], without regard to its conflict-of-law principles. Any dispute will be resolved exclusively in the state or federal courts located in that state, and the parties consent to personal jurisdiction and venue in those courts.
17. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms with a new effective date at this URL. For material changes we will provide reasonable advance notice (e.g., email or in-product notice). Your continued use of the Service after the effective date constitutes acceptance.
